This situation seems to happen alot. If you like him and he likes you then you should go for it but it would be good if you told your friend beforehand.
Think of it from another view, would she do the same if she was in your position?
She might be a bit upset at first but she'll soon get used to the idea.
You could always set her up with one of his friends?

 Try and explain to your friend, that even if you do date him, you still want to be friends and that even if you both like him doesnt mean that it has to destory a friendship...
